Welcome to Spoken Content. These Terms of Use ("Terms") govern your access to and use of the Spoken Content application, website, and related services. By downloading, installing, accessing, or using Spoken Content, you agree to these Terms. If you do not agree, please discontinue use of the application.

1. Using Spoken Content

These Terms govern your use of Spoken Content ("Spoken Content," "we," "our," or "the Developer"). The Developer is Michael Kentrock.

Spoken Content is licensed, not sold, to you for your personal or business use in accordance with these Terms and any applicable Apple App Store terms.

You agree to use Spoken Content only in compliance with applicable laws, regulations, contractual obligations, workplace policies, and the rights of others.

You may not use Spoken Content to:

2. Your Content

You retain ownership of all text, documents, notes, articles, communications, PDFs, images, and other materials that you paste, import, scan, digitize, or otherwise use with Spoken Content ("User Content").

Using Spoken Content does not transfer ownership of your content to us.

You are solely responsible for ensuring that you have the legal right and any necessary permissions to use your content within the application.

You agree that your use of User Content complies with all applicable laws, copyright requirements, privacy obligations, contractual agreements, workplace policies, and any other legal restrictions that apply to your content.

Spoken Content is designed with a privacy-focused, primarily on-device architecture. Because of this design, we generally do not have access to your User Content and are typically unable to:

You assume all responsibility for the content you choose to use with Spoken Content, including its legality, accuracy, ownership, confidentiality, and appropriate use.

To the fullest extent permitted by law, we are not responsible for claims arising from your User Content, including claims relating to copyright infringement, intellectual property, confidentiality, privacy, or unauthorized use.

You agree to indemnify and hold harmless the Developer, Spoken Content, its licensors, affiliates, contractors, employees, and successors from claims, damages, liabilities, expenses, or legal costs arising from your User Content or your violation of these Terms.


3. Digital Energy & Purchases

Certain features of Spoken Content require Digital Energy ("Energy") to operate. Energy enables specific processing and reading capabilities within the application and may be offered for purchase through Apple's In-App Purchase system.

What Energy Is

Digital Energy is a limited-use digital access mechanism that unlocks certain capabilities of Spoken Content. Energy:

Availability

Energy packages, pricing, processing capacity, features, and availability may change, be suspended, replaced, or discontinued at any time without prior notice.

We are under no obligation to continue offering any specific Energy level, pricing structure, research preview, feature, or capability.

Purchases

All purchases are processed by Apple through the App Store and are subject to Apple's terms, payment policies, and applicable platform rules.

Spoken Content does not process or store your payment information.

Using Energy

When your available Energy has been exhausted, Energy-dependent functionality will stop until additional Energy is acquired through an available purchase option.

Certain features of Spoken Content require Energy to function. Continued use of those features may require additional purchases.

Device Association

Energy is intended to remain associated with the device and application installation through which it was acquired.

If the application is deleted, reset, removed, or otherwise becomes unavailable, associated Energy may become inaccessible or unrecoverable.

Subscriptions

From time to time, Spoken Content may offer optional auto-renewing subscriptions through Apple's In-App Purchase system. Subscriptions are optional and are not required for the application's core reading functionality.

When available, a subscription may unlock additional capabilities, productivity features, processing mechanisms, integrations, higher usage limits, early access to new functionality, or other subscription benefits while your subscription remains active. Available subscription benefits may change at any time.

Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period. You may manage, upgrade, downgrade, or cancel your subscription at any time through your Apple Account subscription settings. Billing, renewals, payment processing, and refunds are handled by Apple and are subject to Apple's applicable terms and policies.

By purchasing a subscription, you acknowledge and agree that recurring charges will apply until the subscription is cancelled. You are responsible for managing your subscription, renewal dates, billing preferences, and cancellation through your Apple Account.

If you do not expect to use Spoken Content over a longer period of time, we recommend selecting a shorter subscription term rather than a longer-term subscription. You may change your subscription option at any time, subject to Apple's available offerings.

Subscription benefits remain available only while an active subscription is maintained. If your subscription expires or is cancelled, subscription-only capabilities may no longer be available, while the application's standard functionality will continue to operate according to its applicable requirements.

No Refunds

Because Spoken Content is designed with a privacy-focused, primarily on-device architecture, we generally do not maintain individualized records of how Energy has been consumed.

Accordingly, except where required by applicable law or Apple's platform policies, purchases of Digital Energy are final and non-refundable.

No refunds, credits, replacements, reimbursements, or exchanges will be provided for partially used, fully used, lost, inaccessible, expired, or deleted Energy.

Nothing in this section limits any consumer rights that cannot legally be waived under applicable law or Apple's platform policies.


4. Privacy

Your privacy is important to us.

Spoken Content is designed with a privacy-focused, primarily on-device architecture. We generally do not collect, store, transmit, or monitor the content you process through the application.

Your use of Spoken Content is also governed by our Privacy Policy, which is incorporated into these Terms by reference.


5. Intellectual Property

Spoken Content, including its software, technology, visual design, workflows, user interface, branding, documentation, source code, architecture, and related intellectual property, is owned by the Developer and protected by applicable copyright, trademark, trade secret, and other intellectual property laws.

Except as expressly permitted by applicable law, you may not:

6. Acceptable Use

You agree not to use Spoken Content to:

7. Service Changes

Spoken Content is continuously evolving. We may modify, improve, replace, suspend, restrict, or discontinue any feature, capability, workflow, pricing, Digital Energy offering, supported device, research preview, or portion of the application at any time without prior notice.

We are not obligated to maintain any specific feature, user interface, pricing model, Energy level, compatibility, or roadmap. Continued use of Spoken Content after changes become effective constitutes acceptance of those changes.


8. Purchases & No Refunds

Digital products sold through Spoken Content, including Digital Energy and other in-app purchases, are generally non-refundable because they provide immediate access to digital functionality.

Except where required by applicable law or Apple's policies, purchases are final. Refund requests, where available, are handled through Apple's App Store.

Nothing in these Terms limits any consumer rights that cannot legally be waived.


9. Export Compliance

You agree to comply with all applicable export control, trade, sanctions, and import/export laws governing your use of Spoken Content.

You represent that you are legally permitted to access and use the application under the laws applicable to your jurisdiction.

We may restrict or terminate access where required to comply with applicable laws or governmental regulations.


10. Age Requirements

Spoken Content is intended for users of all ages. However, purchases made through Apple's In-App Purchase system should be made only by individuals legally authorized to do so.

If you are under the age of majority in your jurisdiction, you should review these Terms with a parent or legal guardian before using the application. Any purchases made by minors should be approved by a parent or legal guardian.

Parents and guardians are responsible for supervising a minor's use of the application, including the content they access and any purchases made through Apple services.


11. Limitation of Liability

Spoken Content converts user-provided content into spoken audio. While we strive to provide a reliable experience, the application may occasionally produce errors, omissions, formatting issues, pronunciation mistakes, interruptions, or unexpected results.

You are solely responsible for reviewing and verifying any content and audio generated by the application before relying upon it.

Spoken Content is intended as a productivity tool and must not be relied upon in emergency, medical, legal, financial, navigation, safety-critical, or other situations where errors could result in injury, property damage, financial loss, or other harm.

To the fullest extent permitted by applicable law, Spoken Content is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, availability, accuracy, non-infringement, or uninterrupted operation.

To the fullest extent permitted by law, Michael Kentrock, the Developer, shall not be liable for any indirect, incidental, consequential, exemplary, punitive, or special damages arising from or relating to:

12. No Professional Advice

Spoken Content is a productivity application designed to help users consume written information more efficiently.

The application does not provide legal, medical, accounting, financial, tax, investment, employment, regulatory, emergency, safety, or other professional advice.

You remain solely responsible for obtaining appropriate professional advice and independently verifying any information before making decisions based upon it.


13. Device Performance

Performance may vary depending on your device, operating system version, available storage, battery health, accessibility settings, network conditions, background applications, and other factors outside our control.

Long periods of continuous use may increase processor utilization, battery consumption, storage activity, memory usage, or device temperature.

We cannot guarantee uninterrupted performance under every hardware configuration or operating condition.

You are responsible for operating your device in accordance with Apple's recommendations and maintaining safe operating conditions.


14. Thermal Conditions

If your device becomes unusually warm, displays thermal warnings, limits performance, or otherwise indicates excessive heat, you should stop using the application and allow the device to cool before continuing.

Modern Apple devices may automatically reduce processing performance, suspend background activity, or limit charging when elevated temperatures are detected. These behaviors are controlled by the operating system and hardware and are outside our control.

To the fullest extent permitted by law, the Developer, shall not be liable for battery consumption, battery degradation, reduced performance, thermal management behavior, operating system intervention, or other resource-related effects associated with normal use of Spoken Content.


15. Feedback

We welcome your suggestions, feature requests, bug reports, reviews, ratings, and other feedback regarding Spoken Content.

Unless we agree otherwise in writing, any feedback you voluntarily provide may be used by the Developer to improve, develop, market, support, or operate Spoken Content without compensation, attribution, royalty, or any obligation to you.

Submitting feedback does not create any ownership interest, partnership, employment relationship, or expectation that a particular feature will be implemented.


16. Business Transfers

Spoken Content and its associated technology, intellectual property, and assets may be sold, licensed, assigned, reorganized, transferred, or become part of a merger, acquisition, financing, or other corporate transaction.

If such an event occurs, these Terms, together with any rights and obligations relating to Spoken Content, may be transferred to the successor or acquiring entity to the extent permitted by applicable law.

The successor entity may continue operating, modifying, licensing, supporting, rebranding, expanding, or discontinuing Spoken Content and may update these Terms as permitted by law.


17. Changes to These Terms

We may revise these Terms from time to time to reflect improvements to Spoken Content, changes in applicable law, changes to our business, or changes to the services we provide.

Updated Terms become effective when published unless otherwise required by applicable law.

Your continued use of Spoken Content after revised Terms become effective constitutes your acceptance of the updated Terms.


18. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the State of California, without regard to its conflict of law principles, except where applicable law requires otherwise.


19. Severability

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, the remaining provisions shall continue in full force and effect to the fullest extent permitted by law.


20. Entire Agreement

These Terms, together with our Privacy Policy and any additional policies or notices expressly incorporated by reference, constitute the entire agreement between you and the Developer regarding your use of Spoken Content and supersede any prior agreements or understandings relating to the application.

Acceptance

By downloading, installing, accessing, or using Spoken Content, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use, together with our Privacy Policy.

If you do not agree to these Terms, you should discontinue use of Spoken Content immediately.

These Terms apply to all users of Spoken Content and remain in effect while you access or use the application.
